I'm pondering bioshift in a heroic deck for some silly FNMs, but Im unclear as to certain legalities with it. Do I have to have 2 creatures out to use it? Does one of them have to have counters on them?

Most of the Heroic doods play with +1/+1 counters, so it's not the worst card in the world really. Aside targetting two different creatures, there are a number of minor tricks you can do with moving counters arounds.

You have to have 2 legal targets to allow the spell to be cast yes.
The card says move any number of +1/+1 counters. So the number could be 0. Heroic would still trigger for both creatures.

Well to be fair to the OP they did say it was an FNM deck. Even called it 'silly'.
To be honest if you are building a heroic deck I cannot think of a more mana efficient way to trigger heroic on 2 creatures at instant speed.
