Whenever a creature you control is put into a graveyard from play, remove it from the game instead.
Whenever a creature is removed from the game by Provisionary Embalment that has the same name as a card removed from the game face up, return it to play at end of turn.
Because:
a) counterbalance counters spells depending on converted mana cost, so it is possible to play around it.
b) counterbalance is in play and visible, so the opponent will know he has to play around it or deal with it, whereas your guy will be hidden.
c) spells with split second, or under a City of Solitude or Abeyance don't let you use the Sensei's Divining Top to change the card on top of your library, making the counterbalance much easier to deal with (a Krosan Grip on the counterbalance usually does the trick).
Your card is a counterpell you can play in almost every situation... to counter almost everything... specially after the opponent is in a compromising situation (e.g. to counter the infernal tutor when the opponent has confidently emptied his hand under the protection of his Xantid Swarm)
If you can afford to pay five mana, I think you can afford to counter an Infernal Tutor under protection from a Xantid Swarm. Particularly since you have to dedicate three of that mana on your own turn, which blue hates doing. If you tapped out to play this turn 3, you'd immediately lose to the decks you're talking about. If you played it on turn 5, the first time you can play it and still counter stuff, you've already lost to the fast combo decks.
Besides, having one card in existence that can get around these things if you're willing to spend the five mana is not, in fact, a bad thing.
