I didn't want to just do Nicol bolas (from legends) with a planeswalker side, but I wanted to keep his iconic discard ability. So I made it an ETB effect.
Nicol Bolas's spark supposedly at the end of the dragon's war, when he was the victor, and killed most of the other elder dragons. So I was going for "Flip if Nicol Bolas is the last remaining creature alive"
His etb ability is way too strong. You could easily fix that with "if you cast it" clause. Reanimator decks would just love the card too much otherwise.

Why not pay homage to the original sans sacrifice clause?

Whenever ~ deals combat damage to a player, that player discards his or her hand. Then if there are seven or more cards in that player's graveyard, exile ~, then return him to the battlefield transformed.

MTGS Wikia Article about "New World Order"
Every time I read a comment about "Well if this card had card draw/trample/haste/indestructible/hexproof/life gain...", I think "You're missing the point." They're armchair developer comments that fail to take into account the card's role in the greater Limited and Standard environment. No, it may not be as good as whatever card you're comparing it to. There's a reason for that. Not every burn spell is Lightning Bolt, nor does it need to be or should be.
PSA to everyone who keeps forgetting about the Reserved List:
You're on a website dedicated to talking about MtG. You're only a few keystrokes away from finding out what cards are on the Reserved List. You're also only a few keystrokes away from finding out why some cards on the Reserved List got foil printings in FtV, as Judge promos, or whatnot, as well as why that won't happen again. Stop doing this.
This card desperately needs an anti-reanimation/anti-cheaty-into-play clause.
Seriously, entomb->exhume is already bad enough with Iona, but this is just ridiculous.
Entomb into Exhume is a problem... of those cards. Exhume to be more precise is the actual problem card. It is a terrible idea to design around past mistakes. If the old format breaks and you know the card to blame, then you know which card to remove.
Anyway... I like the idea of moving the discard clause from the ETB trigger to the transform effect. There are two ideas I'd like:
Whenever ~ deals combat damage to a player, that player discards his or her and. Then, if there are seven or more creature cards among all graveyards, exile ~ and return it to the battelfield transformed. (Combining Manite's hommage with the idea that Bolas ascended at the end of a war that caused many creatures to die.)
At the beginning of each end step, if three or more creatures died this turn, each opponent discards his or her hand, then exile ~ and return it to the battlefield transformed. (Similar idea, but the timing of the mind wipe ability swapped to something Bolas would inflict in overdrive at the moment of their ascension.)
I'm not too enamored with the planeswalker side. With the front having the classic discard ability I at least want one ability to be something that exploits this e. g. "-N: You may play target card from another payer's graveyard this turn. If that card would be put into a graveyard this turn, exile it instead."

Planar Chaos was not a mistake neither was it random. You might want to look at it again.

I think the idea of his "early form" being the elder dragon is great fun!
