Definitely needs an "X can't be 0" clause, first off, or it's a vastly improved Infest for 2 mana. Even considering that comparison, when cast for 3 this is gonna clear the opponent's early board and send 4-8 damage in over two attacking turns (fading = stays on the field until you Can't remove a counter = two turns of attack before sac on the next upkeep). I feel like it needs a nerfin'.
It's completely broken. You have made the effect far too undercosted.

Every time I read a comment about "Well if this card had card draw/trample/haste/indestructible/hexproof/life gain...", I think "You're missing the point." They're armchair developer comments that fail to take into account the card's role in the greater Limited and Standard environment. No, it may not be as good as whatever card you're comparing it to. There's a reason for that. Not every burn spell is Lightning Bolt, nor does it need to be or should be.

It doesn't need X can't be 0 because the OP used Fading rather than Vanishing. Fading sacrifices when you aren't able to remove a counter, Vanishing sacrifices when the last counter is removed. If X is zero, next turn it tries to remove a counter, fails, and gets sacrificed.
The last time we saw a permanent Righteous Charge + Infest it cost seven mana for Elesh Norn, Grand Cenobite. This would already feel pushed (but vastly more printable) even if it was just +1/+1 and -1/-1 for the effects. It is two mana for Zealous Persecution, so you would be paying extra for this card on X to keep it around longer.
