What do you guys think? Any advice on how to improve?
The way I see it, entering with 3 counters but requiring 5 to make use of it requires some thought from anyone looking to build around it or include it in a deck. It would shine in a proliferate-style deck or would require multiple copies on the BF. This could allow for a decrease in CMC but as it stands I'm not trying to break it right off the bat.

I didn't know it would time out, my bad! The card is:
"Placeholder" CMC 5
Artifact
Placeholder enters the battlefield with 3 charge counters on it.
1, tap, Remove a charge counter from Placeholder: Put a X counter on target artifact. Then, if that artifact has 5 or more X counters on it, gain control of it.
Artifacts with 5 or more X counters on them are 5/5 artifact creatures.
Since it does nothing on its own the cost could go down considerably. To maybe. Even then you invest more than just five mana to move five counters on a permanent, but also five turns. The "fair" timeframe on this is so terrible that even the proposed cost reduction leaves me unexcited about the card.
Or to formulate it the other way around: Even if you removed the whole "remove a charge counter from ~" part of the cost this would still be terrible due to being so slow - and hosing just a very specific permanent type.
Additionally this should not create two types of counters, so how about:
Cool Artifact
Artifact
~ ETBs with two infusion counters on it.
: Put an infusion counter on target artifact.
: Gain control of target artifact with two or more infusion counters on it.
: Each of any number of target artifacts you control becomes a X/X Construct artifact creature until end of turn, where X is the number of infusion counters on it.
Or something similar.

We could remove the ETB effect from it and make it more along the lines of
Tap: add counter
Gain control for 2-3 counters instead of 5
I do like the +X/+X ability that you added, and you're right it would be slow but I enjoy the functionality on your own battlefield. Even if your opponent isn't playing artifacts you can still turn yours into creatures. There's plenty of support in modern to speed it up as well.
I'm guessing the artifact would have a CMC of 3, eh? I think you have to pump enough mana into it to justify the strength of those abilities. I like that it has utility even if the opponent has no artifacts.
